Terms of use Place and People

This agreement governs your relationship with Place and People LLC, a company incorporated in the United States of America, State of Florida and your use of the company's mobile app “Place and People” available in App Store and Google Play.

You may use this App only on the condition that you’ve accepted the present Terms of use (also referred to as “Terms”; “Terms and conditions”). Please read The Terms carefully before using the App. By Using the App you confirm the acceptance of The Terms. The Terms are applied only to users who are citizens of countries other than Russian Federation and other cis countries gaining access to the app from the territory of such other countries. The following basic terms and definitions are to be used in The Terms:

• App means Place and People mobile application
• Account means personal space created by users for the purposes of the Service’s use
• Service means the App and the services provided through it
• Content means any and all information published by Users on the App or sent by Users to other Users by using the App.
• User, your or you mean the person or persons, using the App and/or using the Services provided via the App.

1. ACCEPTANCE OF THE TERMS

The App is for your personal use and shall not be used for any commercial endeavor except those specifically endorsed or approved by the Company. The Company makes the App including all information, graphics, documents, text, products and all other elements of the App and all products and services provided through this App and services operated through the App, available for your use subject to the terms and conditions set forth in this document and any additional documents available via the App. By pressing any of the "Sign in" buttons the User acknowledge that:

• The User is familiar with the details of The Terms of Use.
• The User is solely responsible for the safety, security, confidentiality of authorization data, as well as the responsibility for the User's posting of all materials and information in the App.
• The Application cannot be used to sell any goods or services, or distribute any promotional materials without Place and People’s direct permission.
• The User guarantees that he/she indicates reliable information about himself/herself, and also has the right to use the mobile phone number, email, account in social networks specified during registration or entering into the App.

Place and People has the right to use any Content uploaded by Users in marketing, advertising and other materials.

Users are prohibited from using any insults, obscene language, distributing pornographic materials, as well as materials that may offend human dignity. It is forbidden to post materials that can encourage terrorist activities or actions that are considered a criminal offense, propagate violence, racial discrimination, and addiction. It is forbidden to post Content that violates intellectual property rights of anybody. Place and People has the right to refuse the User’s access to the App in case of violation of the established prohibitions, and according to the relevant instruction of any external authority (when and if applicable).

The Company can block access or restrict the User from using certain features of the App based on the User’s place of residence or citizenship.

The Company reserves the right to edit or delete any Content posted by the User if it does not comply with the Terms or is harmful to Place and People or any third party.

If you do NOT agree to all The Terms of Use, please cease using the App immediately.

If you do NOT agree to all The Terms of Use, please cease using the App immediately.

2. ENTIRE AGREEMENT

The Terms contain the entire agreement and supersede all prior and contemporaneous arrangements and agreements between the parties. The Terms do not alter the terms or conditions of any other electronic or written agreement you may have with the Company for any service or for any other Company's product or otherwise. In the event of any conflict between The Terms and any other agreement you may have with the Company, the terms of that other agreement will prevail.

3. SPECIAL CONSIDERATIONS REGARDING MINORS

• You represent and warrant You are at least eighteen (18) years of age, and that You have the legal capacity to accept Terms of use. If You are not at least eighteen (18) You must cease using the App and must not use or access the App in any manner.
• If we believe you are in violation of this requirement, we reserve the right to suspend or delete your Account. We specifically disclaim any responsibility or liability for any misrepresentations regarding the User’s age;
• You represent and warrant that You will not allow any minor to access this App via your Account. Users should implement parental control protections, such as computer hardware, software, or filtering services, which may help Users to limit minors’ access to harmful material;
• You acknowledge that if Your computer or mobile device can be accessed by a minor, You will take all the precautions to keep the App from being accessed or used by minors;
• You additionally acknowledge that if You are a parent, it is Your responsibility, and not the Company`s, to keep any age-restricted content from being displayed to Your children.

4. AMENDMENTS

The Terms of Use may be amended by the Company at its own discretion at any time. Should any material changes to The Terms happen, you will be notified through our Service or by other available means and will have an opportunity to review the revised Terms. By continuing to access or use the Service after those changes become effective, you agree to be bound by the revised Terms.

5. USER ACCOUNT

You agree that you will only use the App, including the posting of any content through the App, in a manner consistent with these Terms and any and all applicable local, state, national and international laws and regulations. Creation of the Account is free of charge. Each User can only create one Account in the App.

5.1. CREATING AND LOGGING INTO AN ACCOUNT

You can use accounts, including your Google, Apple pages, using your email address to create and log in to your account in the app. The processing of your personal data is carried out in accordance with the Privacy policy.

Please note that according to the rules of this agreement, each user can only create one page in the app. We oppose the creation of fake pages and try to provide quality moderation of each profile to avoid unfair or fraudulent actions. If the Company receives any complaints about inaccurate data or complaints about your interaction with other users, we reserve the right to block your account until the information is clarified or delete it if it is confirmed that you have provided inaccurate data and/or complaints about your interaction with other users.

In addition, the functionality of the application, including access to certain content of the application may vary depending on the location/residence of the user.

5.2 PAID FEATURES

Although use of the application is currently free, the Company reserves the right to add special paid subscription plans which will allow you to access additional features in the application and/or offer other paid services through the application.

Moreover, certain features of the application that are free as of the date of the agreement may become payable.

In such cases, you will have the opportunity to review the relevant terms and conditions and to accept or decline them before the relevant services and/or additional features of the application are made available.

6. USER CONTENT

You hereby certify that the information, photos, video, audio, and any other files you post in the application do not violate any third party rights, including, but not limited to, non-proprietary rights and/or exclusive rights belonging to third parties. You warrant that you will not transmit or post in the app any material that contains:

• Images, video or audio of any person other than you, unless they contain both your image and the image of such person. If a photo or video contains an image of you and any other person, you acknowledge that you have obtained such person's consent to have such photo or video posted on the app;
• Post Content that violates anyone's rights, including rights of publicity, privacy, copyright, trademark or other intellectual property rights or rights arising out of a contract;
• Any Content that incites violence; contains nude images, scenes of graphic or gratuitous violence;
• Personal information of another person without that person's consent;
• False or misleading information intended to deceive, defraud or mislead other users of the app;
• Any Content that incites hatred or contains threats or material of a sexual or pornographic nature;
• Any Content that promotes racism, intolerance, hatred of any person or group, or contains physical threats;
• Information intended to incite hatred or containing threats, as well as materials of sexual or pornographic nature;
• Information that promotes racism, intolerance, hatred of any person or group of persons, contains defamatory information, and contains physical threats;
• Information on making or buying weapons or drugs, violating someone's privacy, harming or harassing another person, appropriating another person's personal data, creating or distributing computer viruses or circumventing copy protection devices;
• Propaganda and/or calls to participate in or support a political platform, religion, cult or sect;
• Calls to organize or participate in gambling activities;
• Information that violates the intellectual property rights of the Company or any third party, including copyrights on content (e.g., music, movies, videos, photos, images, software, literary works, etc.);
• Information that contains viruses, ransomware, cancel bots or other malicious, or destructive code, components or devices.

We do not confirm or verify the accuracy or reliability of any information posted by users on this application.

We do not conduct background or criminal history checks on users before or after they register as a user.

You are advised to carefully verify the accuracy of the information provided by any person with whom you communicate through the application.

By engaging in interactions with other users, you understand and accept that all actions and consequences resulting from such interactions are performed and arise solely of your own free will.

We cannot guarantee and control all of your activities and personal communications, so please do not provide personal information to anyone who might use it to your detriment.

You hereby release the Company and all affiliates and other users from all liability, including for breach of privacy, defamation, publicity, false reporting and related torts, should your communications and/or account information become public as a result of the unlawful actions of third parties, including the disclosure of such information by third parties to whom you provided such information through the application.

In addition, you release all of the aforementioned parties from liability for the consequences of your use of the application as set forth below:

• Sexual harassment by third parties;
• Fraudulent conduct by third parties;
• Any financial loss not attributable to the Company;
• Failed transactions;
• Failure of the functionality/availability of the Application to meet your expectations, technical failures.

The above list is not exhaustive of the types or categories of claims from which you are exempting the Company. This release is a complete release of claims, and the parties acknowledge the legally binding nature of this provision and the nature of the rights conveyed in connection therewith. The Company reserves the right, but is not obligated, to monitor the information or materials you upload to the Application. Company will have the right to remove any such information or material that, in its sole judgment or at the reasonable request of any third party, violates or may violate any applicable law or agreement.

7. THIRD PARTY MATERIALS

In the event that you use and/or access the Place and People application using products and/or devices that are owned by third parties, you agree that (i) the Company does not grant a license and/or any other rights to use such products and/or devices; (ii) such products and/or devices are not under the control of the Company and the Company has no rights to them; and (iii) such products and/or devices are subject to applicable licenses and related terms and conditions set forth by third parties.

Obtaining rights to use said products and/or devices is up to you and remains your responsibility throughout the term of the agreement.

Nothing in this agreement shall be construed as a grant by the Company of any rights or licenses to you with respect to said products and/or devices.

8. CHANGING THE TERMS AND CONDITION OR STOPPING THE SERVICE

We work hard to ensure that the app provides quality service and fully meets your expectations. In case you decide to stop using the application, go through the process of deleting the account in the application settings.

The Company, as well as the user, can initiate deletion of the user account at any time, without giving a reason.

If the Company has reasonable suspicion that the User is in violation of the agreement, the account is deleted.

The Company has the right to unilaterally delete an account in the following cases:

• The user fails to comply with the terms of the agreement;
• The user has knowingly provided the Company with incorrect and/or false and/or misleading information;
• The company receives complaints about the relevant account from other users.

If applicable, once the account is deleted, regardless of the reason for deletion, the provision of all services related to the account will also be automatically terminated.

9. PRIVACY POLICY AND PERSONAL INFORMATION

The Company has developed a Privacy policy which regulates the processing of users' personal information in accordance with applicable law.

10. USER RIGHTS

The user has the right to use all the functions of the application without violating the rules of the agreement. Under no circumstances can users:

• Use change of IP-address or other methods of masking the region (country) of your current location to bypass geographical restrictions for access to the application or for any other purposes;
• Publicly distribute information (correspondence, in whole or in part), obtained as a result of communication with the technical support and/or other users;
• Use the application in violation of applicable laws;
• Attempt to gain unauthorized access to the Application, accounts registered to other persons, computers, servers or networks connected to the Application by any means other than the user interface;
• Interfere or attempt to interfere with the proper functioning of the Application or connect to or use the Application in any way not expressly permitted by the agreement;
• Disrupt, overburden, or assist in disrupting or overloading any computer or server used to support the application;
• Organize, assist or participate in attacks of any type against the application;
• Use exploits, automation software or any unauthorized third party software designed to modify or tamper with the application;
• Use the application to develop or assist in the development of exploits, automation programs, or any other unauthorized third-party software designed to modify or tamper with the application;
• Use, facilitate, create or maintain any unauthorized connection with the Application, including, without limitation, (1) any connection to any unauthorized server that emulates or attempts to emulate any part of the Application; or (2) any connection using programs, tools or software not approved by the Company
• Upload or transmit, or attempt to upload or transmit, without the Company's express permission, any material that acts as a passive or active information gathering or transmission mechanism, including, without limitation, transparent graphics exchange formats ("gifs"), 1x1 pixels, web bugs, cookies or other similar devices (sometimes called "spyware", "passive collection mechanisms" or "pcms");
• Except as permitted by law or applicable open source licenses, reverse engineer, decompile, disassemble, decrypt or otherwise attempt to obtain the source code of any underlying software or other intellectual property used to operate the application, or obtain any information from the application in any manner not expressly permitted by the Company;
• Copy, modify or distribute the content of the application, the Company's exclusive rights, its trademarks, or use any method to copy or distribute the content of the application, except as specifically permitted by the agreement;
• Publicly disseminate information about the types and ways of violating the agreement and the Privacy policy, as well as publicly call for violating the agreement and the Privacy policy

11. INTELLECTUAL PROPERTY

11.1 INTELLECTUAL PROPERTY OF THE COMPANY

By using the application, you expressly agree that all exclusive rights to the results of intellectual activity used in the Place and People application belong to the Company and/or its licensors. You agree not to copy, republish, download, transmit, modify, sell, assign, distribute, license, sublicense, reverse engineer, or create derivative works based on the Application and/or portions thereof, other Company products or services, except as expressly permitted herein or in other Company documents.

Any use of the subject matter of these rights, including without limitation, distribution, reproduction, modification, copying or transmission, without the prior written consent of the Company is strictly prohibited.

In the case of such consent, references to the exclusive and/or copyright holder must be made known to all third parties, including those gaining access to the objects of such rights.

11.2 USER INTELLECTUAL PROPERTY

By creating an account, you grant the Company an assignable, royalty-free, sublicensable right and license to host, store, use, copy, display, reproduce, rework, edit, publish, modify, publicly perform, publicly display, broadcast, communicate to the public, and distribute materials you provide access to through third party services (including social media) and any materials you post on the app.

This license is valid worldwide for as long as you use the application.

12. NOTIFICATION AND FILING OF A COPYRIGHT INFRINGEMENT CLAIM

If you believe that your copyright and/or exclusive rights have been infringed, please provide the following written information to support@placep.dev:

• A description of the work that has been infringed;
• A link to the infringing material;
• Your address, telephone number and email address, and the copyright holder's information.

Please note that this procedure is for the sole purpose of notifying the Company and/or its affiliates of your copyright and/or exclusive rights infringement.

The Company reserves the right to request other information from you in addition to the information set forth in the paragraph above when processing a complaint of infringement of your copyrights and/or exclusive rights.

13. APPLICABLE LAW AND DISPUTE RESOLUTION

These Terms shall be governed, construed, and enforced in accordance with the law of the USA.

The Parties will tend to solve all disputes, differences and claims that can arise out of the execution, termination or cancellation of the Terms by means of negotiations. The Party that has any claims should send a notification to the other Party describing the arisen claims and/or differences. In case of no agreement during negotiations, the Party shall send a claim to the other Party. The party receiving the claim is obliged to respond in writing to it within 10 (ten) days from the date of receipt.

Any dispute, controversy or claim arising out of or in connection with this contract, or the breach, termination or invalidity thereof, shall be finally settled by arbitration in accordance with the law of the USA, FLORIDA.

The number of arbitrators shall be one. The language to be used in the arbitral proceedings shall be English.

14. TERM AND TERMINATION

The term of the agreement (the "Term") begins when you begin using the Place and People app and continues for the duration of your use, unless terminated by the Company in the manner set forth in the agreement.

15. ASSIGNMENT OF RIGHTS

The Company may assign, transfer or delegate the rights and duties to perform any of its obligations under the agreement and/or the Privacy policy, in whole or in part, to any person or entity at any time.

16. INVALIDITY OF CERTAIN PROVISIONS

If any term, provision, covenant or restriction of the agreement is held by a court of competent jurisdiction to be invalid, illegal, void or unenforceable, the remaining terms, limitations and conditions set forth in the agreement shall remain in full force and effect and shall in no way be affected, breached or invalidated.

17. DISCLAIMER OF WARRANTIES

We expressly disclaim all warranties of any kind, including warranties of fitness for a particular purpose.

You acknowledge that information you store or transmit through the Place and People app may be irretrievably lost, damaged, or temporarily unavailable for various reasons, including:

• Software failures
• Protocol changes by third party service providers
• Internet service interruptions
• Force majeure or other disasters including ddos attacks by third parties
• Scheduled or unscheduled maintenance, and other causes beyond our control.

You are solely responsible for backing up and maintaining copies of any information you store or transmit through the application.

18. COMPLETENESS OF AGREEMENT

The Agreement contains the entire agreement and supersedes all prior and contemporaneous agreements between the parties regarding the use of the application.

The Agreement does not modify the terms or conditions of any other electronic or written agreement that you may have with the Company regarding any service or any other Company product.

In the event of a conflict between the agreement and any other agreement you may have with the Company, the terms of such other agreement shall prevail only if such agreement expressly states that its terms prevail over the terms of this agreement.

19. APPLICABLE LAW

The law of the United States of America, Florida, and, where applicable, the law of the Russian Federation or the law of the relevant other CIS Member State shall apply to this policy and the relationship between the user and the Company arising out of the application of the privacy policy.
